These terms apply to business clients when incorporated into a working agreement from DN Media Marketing Ltd. The working agreement identifies the client, services, fees and start date. An expressly agreed engagement-specific term takes priority. Sending an enquiry does not create a paid engagement.

Our agreement
DN Media Marketing Ltd provides the business services described in your working agreement. That agreement, these service terms and the applicable data-processing terms form the contract. The client confirms that it contracts for business purposes and that its approver is authorised to accept.
Services and access
We will use reasonable care and skill to carry out the agreed work. You will provide accurate information, necessary decisions and suitable access. Marketing results depend on factors outside our control and are not guaranteed. Platform advertising spend is paid by you directly to the platforms and is separate from our fees.
Monthly fees
The working agreement lists the channels, default rates, permanent value uplifts or discounts, and any overall introductory discount. Introductory discounts run for the stated consecutive calendar months, including a month skipped while a change awaits acceptance. Prices are before VAT, which is added when applicable.
Start, renewal and payment
Monthly services begin on the agreed first day of a month. Onboarding can take place beforehand. Plans renew on the first of each month. Invoices are payable within 14 days unless the accepted agreement specifies another period. Payments are by bank transfer using the invoice reference.
Changes and cancellation
A change requires a new accepted agreement. Sending a monthly change pauses recurring invoicing while it awaits acceptance. If it is still unsigned when a new month begins, that month is skipped without a catch-up invoice and no work is undertaken for it. An accepted change begins on the next first of the month. You may cancel by email to contact@dnmedia.marketing; work continues for the remainder of the current paid month and ends at renewal. An introductory discount does not create a minimum term.
One-off work
The accepted one-off agreement specifies its scope and fixed fee. When the charge is entered, an invoice is issued for the full fee, payable within 14 days. One-off work does not require a monthly marketing plan. The fixed fee is payable in full. Ongoing maintenance is a separate service unless the scope includes it.
Website work and third-party materials
Ownership of bespoke website work transfers after full payment. Our existing tools, reusable components and third-party materials remain subject to their existing ownership and licences. Hosting arrangements and access are agreed for each client. Ongoing maintenance is a separate service unless the scope includes it.
Confidentiality and personal data
Each party will keep confidential information confidential and use it for the agreed work. Where we process personal data on your behalf, the processing terms form part of this agreement. We do not put client or lead personal data into AI tools by default; an exception requires written agreement and suitable provider checks.
Liability
The aggregate liability cap for monthly services is one normal month of the agreed recurring fees after permanent adjustments, before introductory discount and VAT. For a one-off project, the aggregate cap is the agreed project fee before VAT. The cap is aggregate rather than a per-claim or monthly-reset allowance. Nothing limits liability where the law does not permit it, including death or personal injury caused by negligence, fraud or fraudulent misrepresentation. The contract cannot remove a regulator’s powers or the statutory rights of a person who is not bound by it.
Other matters
We will obtain written permission before identifiable client publicity. Late-payment rights and any pause after non-payment are handled manually after notice; no automatic penalties are added. Contract documents and acceptance evidence are retained with their original versions. Contact DN Media promptly if something is wrong so that it can be investigated.
Governing law
These terms and the working agreement are governed by the law of England and Wales. The courts of England and Wales have jurisdiction, subject to any mandatory legal requirement.
